In order to be considered for the Board, a person must be a current member of the American Chamber of Commerce in Cambodia (AmCham) who is nominated by himself/herself or another current member at least two weeks before the vote of members at the annual general meeting. Once the nomination is submitted, AmCham shall confirm with the nominee that he/she wishes to stand for office and commits to:
1. Being an active member of the chamber in good standing;
2. Be engaged in major activities in his or her service to the American Chamber of Commerce in Cambodia;
3. Work towards AmCham's goals and objectives; and
4. Commit time and energy to AmCham activities beyond that required solely by attendance at monthly board meetings.

The mission of AmCham Cambodia is to help member companies do business in the Kingdom and foster commerce and trade between Cambodia, the ASEAN region, and the U.S. AmCham Cambodia and its members uphold the highest of business standards.

Each member of The Board will actively support the work of AmCham Cambodia and provide mission-based leadership and strategic governance to ensure the chamber is strategically positioned to provide the greatest benefit to its members and the greater community. While day-to-day operations are led by AmCham’s Executive Director, the Board-ED relationship is at the pleasure of the Board Chair, and the appropriate involvement of the Board is both critical and expected. Board Members must actively engage in the leadership of the chamber. Specific Board Member responsibilities include:
Leadership, governance and oversight
Serving as a trusted advisor to the ED as s/he develops and implements AmCham Cambodia’s strategic plan 
Reviewing outcomes and metrics created by AmCham Cambodia for evaluating its impact, and regularly measuring its performance and effectiveness using those metrics; reviewing agenda and supporting materials prior to board and committee meetings 
Approving AmCham’s annual budget, audit reports, and material business decisions; being informed of, and meeting all, legal and fiduciary responsibilities 
Contributing to an annual performance evaluation of the ED 
Assisting the board chair and ED in identifying and recruiting other Board Members 
Partnering with the board chair and other board members to ensure that board resolutions are carried out 
When appropriate, serving on committees or task forces and taking on special assignments 
Representing AmCham Cambodia to stakeholders; acting as an ambassador for the organization 
Ensuring AmCham Cambodia’s commitment to a diverse board and staff that reflects the communities AmCham serves

Duties and Powers of the Board of Governors

As per section 15 of the AmCham Charter, the duties of each Board Member includes but are not limited to;

Oversee and make policy decisions with respect to the functions sponsored by the Chamber;
Promote relations with other chambers of commerce and other relevant organizations;
Make decisions on matters affecting the Chamber when the Annual General Meeting is not sitting;
Manage and administer the day to day affairs of the Chamber, and may appoint committees to handle such affairs;
Appoint, when needed, a Manager and other administrative personnel to manage the work of the Chamber and the Board of Governors;
Delegate, when needed, authority to such persons as deemed prudent.
Board terms/participation
AmCham Cambodia’s Board Members will serve a two-year term to be eligible for re-appointment by election at the Annual General Meeting. Board meetings will be held monthly or as otherwise agreed by the board. Board Members actively participate in AmCham activities, events, committees, and board meetings. Any Board Member who is absent for three consecutive board meetings may, on the majority agreement of the remaining board members, be removed from the board for non-participation.

Selected Board Members will have achieved leadership stature in business, government, philanthropy, or the nonprofit sector. Candidate is an owner, C-level officer or senior director level in AmCham member company or organization. His/her accomplishments will allow him/her to attract other well-qualified, high-performing Board Members.

Ideal candidates will have the following qualifications:
Extensive professional experience with significant executive leadership accomplishments in business, government, philanthropy, or the nonprofit sector 
A commitment to and understanding of AmCham Cambodia’s beneficiaries, preferably based on experience 
Savvy diplomatic skills and a natural affinity for cultivating relationships and persuading, convening, facilitating, and building consensus among diverse individuals 
Personal qualities of integrity, credibility, and a passion for improving the lives of AmCham Cambodia’s members
Service on AmCham Cambodia’s Board of Directors is without remuneration, except for administrative support, travel, and accommodation costs in relation to Board Members’ duties.
